Terms of Service

Welcome to XRP Capital. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and XRP Capital Ltd. ("XRP Capital," "we," "us," or "our"), governing your access to and use of the XRP Capital platform, website, mobile applications, and all related investment services (collectively, the "Services").

By creating an account, accessing our platform, or using any of our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. When we make changes, we will provide notice by updating the "Last Updated" date at the top of this page and, for material changes, by sending an email to the address associated with your account or displaying a prominent notice on our platform. Your continued use of the Services after any such change constitutes your acceptance of the new Terms.

To use the XRP Capital platform and access our investment services, you must meet all of the following eligibility criteria:

• Be at least 18 years of age, or the legal age of majority in your jurisdiction, whichever is greater.
• Have the full legal capacity and authority to enter into binding contractual agreements.
• Not be a resident of, or physically located in, any jurisdiction where the use of cryptocurrency investment services is prohibited by law or regulation.
• Not be a person or entity subject to sanctions administered by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or any other applicable governmental authority.
• Not have been previously suspended or removed from the XRP Capital platform for any reason.
• Agree to comply with all applicable local, national, and international laws, regulations, and rules regarding the use of digital assets and online investment platforms.

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to request documentation to verify your eligibility at any time and to suspend or terminate your account if we determine, in our sole discretion, that you do not meet these requirements.

To access the full features of XRP Capital, you must register and create an account. During registration, you agree to provide accurate, current, and complete information, and to promptly update your information if it changes.

Know Your Customer (KYC) Requirements

As part of our regulatory compliance obligations and commitment to maintaining a secure platform, all users are required to complete identity verification (KYC) before depositing funds or accessing investment plans. This process may include:

• Submission of a valid, government-issued photo identification (passport, national ID, or driver's licence).
• Proof of residential address dated within the last three months (utility bill, bank statement, or official government correspondence).
• In certain cases, a selfie or live video verification to confirm identity.
• For investments exceeding $50,000, enhanced due diligence (EDD) documentation including proof of source of funds may be required.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and two-factor authentication codes. You must not share your credentials with any third party. You agree to notify XRP Capital immediately at security@xrpcapital.com if you suspect any unauthorized access to or use of your account.

We reserve the right to suspend, freeze, or terminate any account where we suspect unauthorized access, fraudulent activity, or any breach of these Terms. You will be liable for any losses incurred due to unauthorized use of your account where such loss results from your failure to keep your credentials secure.

XRP Capital provides a managed digital asset investment platform focused on XRP (Ripple) and broader cryptocurrency portfolios. Our services include, but are not limited to, portfolio management, automated yield generation, staking facilitation, and access to institutional-grade market infrastructure.

Investment Plans

We offer a range of investment plans, each with specific minimum investment thresholds, projected return structures, and lock-up periods. By selecting and activating an investment plan, you agree to the specific terms applicable to that plan, which are incorporated by reference into these Terms.

• Starter Plan: Minimum $500 investment, entry-level exposure to XRP managed portfolios with flexible withdrawal terms.
• Growth Plan: Minimum $5,000 investment, enhanced returns through diversified XRP and digital asset strategies.
• Institutional Plan: Minimum $50,000 investment, bespoke portfolio management with dedicated account support and priority liquidity access.

Returns & Projections

Any projected returns, estimated yields, or historical performance data displayed on our platform are provided for informational purposes only and do not constitute a guarantee of future results. Actual returns may be higher or lower than projected figures. Digital asset markets are highly volatile and all investments carry the risk of partial or total loss of capital.

Withdrawals

Withdrawal requests are processed within 1–5 business days, subject to KYC status, account standing, and the terms of your selected investment plan. Certain plans may have minimum lock-up periods during which withdrawals are restricted. Emergency withdrawals may be subject to early exit fees as outlined in your plan documentation.

XRP Capital charges fees for the use of certain services. By using our platform, you agree to pay all applicable fees as disclosed at the time of each transaction or as outlined in your investment plan documentation.

We reserve the right to modify our fee structure at any time. Changes to fees will be communicated at least 30 days in advance via email to your registered address. Continued use of the Services after such notice constitutes your acceptance of the updated fee structure.

Investing in digital assets, including XRP and other cryptocurrencies, involves a high degree of risk. Before using our services, you should carefully consider whether investing in digital assets is appropriate for you in light of your financial circumstances, investment objectives, and risk tolerance.

Key Risks Include:

• Market Volatility: Cryptocurrency prices are highly volatile and can experience significant price swings within short time periods due to market sentiment, regulatory news, or technological developments.
• Regulatory Risk: The regulatory environment for digital assets is evolving rapidly. Changes in laws or regulations in any jurisdiction may adversely affect the value of digital assets or our ability to offer services in certain regions.
• Technology Risk: Blockchain networks and smart contracts may contain vulnerabilities or bugs that could lead to loss of assets. Forks, protocol changes, or network congestion may also affect performance.
• Liquidity Risk: Digital asset markets may experience periods of reduced liquidity, making it difficult to execute transactions at desired prices or within desired timeframes.
• Custody Risk: While XRP Capital employs industry-leading security measures, no custody solution is completely immune to the risk of loss through hacking, theft, or other security incidents.
• Tax Risk: Digital asset transactions may generate taxable events. You are responsible for determining and satisfying any tax obligations arising from your use of our services in your applicable jurisdiction.

This risk disclosure is not exhaustive. We strongly recommend that you seek independent financial, legal, and tax advice before making any investment decisions.

You agree that you will not, directly or indirectly, use the XRP Capital platform or Services for any of the following purposes:

• Violating any applicable law, regulation, or governmental order, including laws relating to anti-money laundering (AML), counter-terrorism financing (CTF), sanctions compliance, or tax evasion.
• Providing false, inaccurate, or misleading information during registration, KYC, or at any other point while using the Services.
• Using the platform to launder money, fund illegal activities, or channel proceeds of crime.
• Engaging in any form of market manipulation, including wash trading, spoofing, or artificially inflating or deflating the price of any digital asset.
• Attempting to gain unauthorized access to our systems, servers, databases, or other users' accounts.
• Uploading or transmitting viruses, malware, or any other malicious code to our platform.
• Using automated bots, scrapers, or other automated tools to access our Services without our prior written consent.
• Impersonating any person or entity, including XRP Capital employees or representatives.
• Reproducing, duplicating, copying, or reselling any portion of our Services without our express written permission.
• Engaging in any activity that could impose an unreasonable or disproportionately large load on our infrastructure.

Violation of any prohibited activity may result in immediate account suspension or termination, forfeiture of pending returns, reporting to relevant law enforcement or regulatory authorities, and civil or criminal liability. We reserve the right to investigate any suspected violations and to cooperate fully with any law enforcement inquiry.

All content, features, and functionality of the XRP Capital platform — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the overall "look and feel" of the platform — are the exclusive property of XRP Capital Ltd. or its licensors and are protected by applicable intellectual property laws including copyright, trademark, and trade secret law.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform and its content solely for your personal, non-commercial investment purposes, subject to these Terms. This licence does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works from any platform content.
• Use any data mining, robots, or similar data gathering or extraction methods.
• Remove or alter any copyright, trademark, or other proprietary rights notices from the platform.
• Frame or use framing techniques to enclose any trademark, logo, or other proprietary information without our express written consent.

Any feedback, suggestions, or ideas you submit to XRP Capital may be used by us without any obligation to compensate you or maintain confidentiality. The "XRP Capital" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of XRP Capital Ltd. or its affiliates. You must not use such marks without the prior written permission of XRP Capital.

To the maximum extent permitted by applicable law, XRP Capital, its directors, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage or system failure, or the cost of substitute services, arising out of or in connection with your use of the Services.

The above limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if XRP Capital has been advised of the possibility of such damages, and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranty regarding the accuracy, reliability, completeness, or timeliness of any content or information provided through our platform.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services ("Dispute"), the parties agree to first attempt to resolve the matter informally by contacting XRP Capital at legal@xrpcapital.com. We will attempt to resolve the Dispute within 30 days of receiving written notice.

Binding Arbitration

If informal resolution is unsuccessful, any Dispute shall be finally resolved through binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules then in effect. The seat of arbitration shall be London, England. The language of arbitration shall be English. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.

Exceptions

Notwithstanding the foregoing, either party may seek urgent interim or injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section shall prevent XRP Capital from taking legal action to collect amounts owed or to protect its intellectual property rights.

You may terminate your account at any time by contacting our support team at support@xrpcapital.com. Upon termination, you will receive any funds remaining in your account after the settlement of all outstanding positions and the deduction of applicable fees, subject to the terms of your active investment plans.

Termination by XRP Capital

We reserve the right, in our sole discretion, to suspend or permanently terminate your account and access to the Services at any time and without prior notice for any of the following reasons:

• Material breach of any provision of these Terms.
• Engaging in any prohibited activity as described in Section 7.
• Failure to complete KYC verification within the required timeframe.
• Suspected fraud, money laundering, or other illegal activity.
• Receipt of a court order, regulatory directive, or law enforcement request requiring account suspension or closure.
• Prolonged inactivity (accounts with no activity for more than 24 months may be subject to dormancy procedures).

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Subject to the arbitration agreement in Section 10, you and XRP Capital agree to submit to the exclusive jurisdiction of the courts located in London, England for the resolution of any legal matter arising from these Terms, to the extent court proceedings are permissible.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, it shall be deleted, and the remaining provisions of these Terms shall continue in full force and effect.
